Position Description

The Associate General Counsel will serve as a key member of the legal department and will assist the General Counsel and other members of the executive team in executing overall strategic objectives from both legal and business perspectives.  Reporting to the General Counsel, this position will have supervisory responsibility for other lawyers and paraprofessionals within the legal department.  This position will be based in San Francisco, California.

Responsibilities 

  • Transactional and management support for the financing of Sunrun’s solar energy projects, including drafting, reviewing and negotiating tax equity financing agreements, credit facilities and other project finance transactions; counseling Sunrun’s finance group with regard to the structuring of such transactions, including identifying critical project risk issues and making appropriate recommendations.
  • Drafting, reviewing and negotiating transactions relating to the development of solar energy projects, such as equipment, procurement, construction contracts and power purchase agreements.
  • Corporate and commercial transactional support, including corporate equity financings, mergers and acquisitions, vendor agreements/relationships and professional service agreements.
  • Manage and contribute to creating, developing and implementing processes, procedures, best practices, systems and controls within the Sunrun Legal Department.  Make recommendations for improving such policies, processes and controls to General Counsel.
  • IP support, technology transactions, employment/compensation/benefits, real estate, securities, and corporate governance/board matters.
  • Regularly interface with and advise the General Counsel and executive management of potential risks in contractual, financial and legal areas and propose risk mitigation strategies.  Resolve claims and contract disputes.
  • Lead compliance activities with applicable federal and state laws relating to consumer protection and data security and privacy.
  • Cross-team collaboration and coordination of legal workload with colleagues.

Required Qualifications

  • 15+ years of experience as a transactional attorney with training received from a top U.S. law firm.
  • Prior in-house experience is required, particularly in a public company setting.
  • Prior experience with helping to scale legal department functions in fast paced business environments.
  • Member of California Bar is preferred; will consider candidates who will qualify as Registered In-House Counsel with State Bar of California.
  • Prior experience in areas of project and/or corporate finance and other transactional expertise is required. 
  • Overall, possess excellent drafting, negotiating and client communication skills to:  (a) identify complex legal issues related to assigned matters, develop alternative solutions and implement resolutions, and (b) regularly negotiate independently on significant matters and areas of importance. 
  • Creative, independent thinkers who are adaptable and comfortable managing changing priorities in a fast-paced, time-critical environment.
  • Possess excellent time management, project management, dispute resolution and interpersonal skills.
  • Reputation for being a team player with an ability to focus, direct, and manage the efforts of external legal resources to provide critical legal support.

The Commercial Counsel, who reports to the General Counsel, will work on a variety of legal matters including commercial agreements and related regulatory matters.  He/She must have excellent legal judgment and an ability to provide practical, business-oriented and actionable advice.

Primary Responsibilities 
  • Support one or more business verticals, including reviewing, drafting and negotiating contracts on a daily basis, including client, publisher and advertising agreements, syndication agreements, and supply/procurement agreements
  • Respond to legal requests from business development, sales, content management, media and IT, summarizing and communicating legal issues and concepts
  • Have or develop deep understanding of the regulatory requirements under which we and our customers must operate
  • Support the continuous improvement of standard form agreements and legal processes
Required Qualifications
  • J.D. from top law school
  • Minimum of 5 years of legal experience, preferably including a combination of nationally recognized law firm and in-house experience
  • Knowledge of Internet or media industries’ legal environment
  • Exceptional problem-solving abilities and legal judgment
  • Excellent contract drafting skills, including structuring complex commercial transactions
  • Broad experience in contract law/complex commercial transactions
  • Proven ability to assess legal risk and reach consensus driven decisions
  • Ability to handle a wide range of matters in a fast-paced environment and under time pressures
  • Strong organizational skills
  • Ability to develop and implement processes for legal department and company in general
  • Strong communication skills
